Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you (“you” or “User”) and T Meador Construction LLC (“we,” “us,” or “our”) governing your access to and use of Circuit Directory and the website at circuitdirectory.com (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Circuit Directory is a web-based software application for creating, organizing, and storing electrical panel circuit directories. The Service is a software and organizational tool only.

2. Safety Disclaimer incorporated by reference

Your use of the Service is subject to our Safety Disclaimer, which is incorporated into these Terms. In summary: the Service is for informational and organizational purposes only; it does not verify the accuracy of any information; it is not a substitute for a licensed electrician; and you must independently test and confirm that any circuit is de-energized before performing electrical work. You assume all risk arising from electrical work and from reliance on information in the Service.

3. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for:

  • Providing accurate account information;
  • Maintaining the confidentiality of your login credentials; and
  • All activity that occurs under your account.

Notify us promptly at help@circuitdirectory.com of any unauthorized use of your account.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms;
  • Access data or accounts that do not belong to you;
  • Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Service or its infrastructure;
  • Upload malicious code or content that infringes the rights of others;
  • Reverse engineer, scrape, or resell the Service except as permitted by law; or
  • Misrepresent circuit or safety information in a way intended to endanger others.

We may suspend or terminate accounts that violate this section.

5. Your content

You retain ownership of the data and content you enter into the Service (“Your Content”), including your circuit directories. You grant us a limited license to host, store, process, back up, and display Your Content solely to provide and maintain the Service. You are responsible for the accuracy and legality of Your Content. We do not review or verify Your Content.

6. Our intellectual property

The Service, including its software, design, and branding, is owned by T Meador Construction LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not use our name, logo, or trademarks without our written permission.

7. Fees, billing, and subscriptions

Paid plans are billed in advance for your selected plan (monthly or annual) through our payment processor, Stripe. By subscribing you authorize us (via Stripe) to charge your payment method on a recurring basis according to your selected plan until you cancel.

  • Fees are stated at circuitdirectory.com/pricing and may change on notice as described in Section 12.
  • Subscriptions renew automatically at the end of each billing period unless cancelled.
  • You are responsible for all applicable taxes.
  • Cancellation and refunds are governed by our Refund & Cancellation Policy.

8. Termination

You may stop using the Service and cancel your account at any time. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if we reasonably believe your use creates risk or legal exposure for us or others. On termination, your right to use the Service ends. We may delete Your Content after termination as described in our Privacy Policy; export your data before cancelling if you wish to keep it.

9. Disclaimer of warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and reliability. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any information in the Service is accurate or complete. You are solely responsible for verifying all circuit and safety information as described in the Safety Disclaimer.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, T MEADOR CONSTRUCTION LLC AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY PERSONAL INJURY, DEATH, PROPERTY DAMAGE, LOST PROFITS, OR LOST DATA, ARISING FROM OR RELATED TO YOUR USE OF — OR INABILITY TO USE — THE SERVICE OR ANY RELIANCE ON INFORMATION IN IT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for personal injury or certain damages, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless T Meador Construction LLC and its owners, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your electrical work, your reliance on information in the Service, Your Content, or your violation of these Terms or of any law or third-party right.

12. Changes to the Service or Terms

We may modify the Service or these Terms at any time. If we make material changes to these Terms, we will provide reasonable notice (for example, by email or an in-app notice). Your continued use after changes take effect constitutes acceptance. If you do not agree, stop using the Service.

13. Governing law and dispute resolution

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state courts located in Powhatan County, Virginia, or the federal courts serving that area (the U.S. District Court for the Eastern District of Virginia), and you consent to personal jurisdiction in those courts. Nothing here limits your non-waivable statutory rights.

14. Miscellaneous

  • Entire agreement. These Terms, the Safety Disclaimer, Privacy Policy, Cookie Policy, and Refund & Cancellation Policy are the entire agreement between us regarding the Service.
  • Severability. If any provision is found unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
